Baltic Beverages Holding: Battling Greenmail
Baltic Beverages Holding (BBH), then a joint venture between Scottish Newcastle and Carlsberg, owned four separate Russian breweries, which it wanted to merge under unified Baltika Breweries.
After shareholders rejected an initial merger proposal and during the subsequent highly-publicized legal attacks by a minority shareholder, BBH hired PBN H+K Strategies. We provided litigation support, media management and advised BBH on tactics and negotiations strategy to defend against "greenmailing." Once shareholders approved the merger in 2006, we helped BBH and Baltika successfully unveil the new company to key audiences, including the news media, in Russia, Ukraine, Kazakhstan and the Baltic countries.
